Welcome to Expandza. By accessing our website or engaging our digital marketing services, you agree to be bound by the following Terms and Conditions.
1. Services
Expandza provides performance marketing services, including Search Engine Optimisation (SEO), Pay-Per-Click (PPC) advertising, Email Marketing, and Automation. The specific scope of work, deliverables, and timelines for each client will be outlined in a separate Service Agreement or Proposal.
2. Payments and Invoicing
- Fees: All fees are quoted in INR (or USD for international clients) and are exclusive of GST, which will be charged as applicable under Indian Law.
- Payment Terms: Invoices are due upon receipt unless specified otherwise in your Service Agreement.
- Late Payments: We reserve the right to pause or suspend services immediately if payments are not made by the due date.
- Third-Party Costs: All media spend (ad budget paid to Google/Meta/WhatsApp) is the direct responsibility of the client and is not included in our agency management fee.
3. Intellectual Property (IP)
- Client IP: You retain full ownership of all assets (logos, images, brand guidelines) you provide to us.
- Deliverables: Upon full payment of all fees, the specific creative assets, copy, and reports produced for your campaign belong to you.
- Agency IP: Expandza retains ownership of our proprietary methodologies, code libraries, automation templates, and pre-existing frameworks used to deliver the service.
4. Limitation of Liability
Expandza will perform services with professional care and skill. However:
- We are not liable for any indirect loss, loss of revenue, loss of profits, or data loss arising from the use of our services.
- We are not responsible for third-party platform changes, including but not limited to Google algorithm updates, ad account suspensions, or WhatsApp policy changes. We act as a service provider but do not own or control these platforms.
5. Termination
Either party may terminate the agreement with written notice as specified in the Service Agreement (typically 30 days). Upon termination, all outstanding invoices must be paid immediately.
6. Jurisdiction
These terms shall be governed by the laws of India. Any disputes arising out of these terms shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan.
7. Earnings and Results Disclaimer
To ensure full transparency regarding our services, you acknowledge the following:
- No Guarantees: While Expandza uses data-driven strategies and industry best practices to maximise performance, we do not guarantee specific results. Digital marketing outcomes depend on numerous factors beyond our control, including market volatility, competitor activity, and third-party algorithms.
- Past Performance: Any case studies or testimonials shown on this website represent the specific achievements of those particular clients. They are for illustrative purposes only and do not constitute a guarantee that you will achieve the exact same metrics.
- Business Risk: You recognise that any business endeavour involves risk. You assume full responsibility for your business decisions, and Expandza shall not be held liable for the success or failure of your business operations.
